LAPFF considers it part of the fiduciary duty of trustees towards their pension fund members to raise pertinent questions with companies that engage in mergers and acquisitions (M&A)
LAPFF considers it part of the fiduciary duty of trustees towards their pension fund members to raise pertinent questions with companies that engage in mergers and acquisitions (M&A)

In order to ensure that they: receive all the information necessary to assess particular M&A offers play their part in raising standards of corporate governance around M&A and extend their stewardship duties to embrace engagements that explore the quality of board-level strategic decision making within investee companies.

 

The Forum’s additional focus is to assist local authority pension fund trustees assess the quality of the M&A processes that companies use to inform their approaches to M&A, and in assessing whether proposed M&A deals are likely to create or destroy shareholder value in the long-term – not least by seeking to develop a model of what good M&A looks like.

 

This model will direct engagement on this subject, and will be refined over time, based on the learning that comes from such engagements.
